Job Description

A publicly-traded corporation operating in the business services and technology sector, with a worldwide presence, is currently seeking an accomplished attorney to serve as its Assistant General Counsel to manage all legal matters, including with respect to public reporting and securities, mergers and acquisitions, intellectual property, corporate governance, litigation and day-to-day general corporate matters.


This individual should possess a strong background in corporate law gained from private practice or in-house legal work, ideally both, with demonstrated proficiency in managing board-related and public shareholder affairs and a passion for transactions.


Key Responsibilities

  • Provide strategic solutions and guidance to executive team and stakeholders on all legal matters affecting the Company, building and managing a global team of lawyers and legal support professionals
  • Act as the Company's lead lawyer in mergers and acquisitions, including cross border transactions, and significant customer transactions and financings
  • Review, draft and negotiate a broad range of complex agreements, including master services, licensing, professional services, marketing, SaaS, and commercial contracts working collaboratively with internal stakeholders and counterparties
  • Lead public reporting process, procedures and Nasdaq compliance
  • Act as secretary to the board and its committees, prepare board materials, manage subsidiaries.
  • Prepare, establish and revise corporate policies and standard form agreements
  • Manage intellectual property portfolio
  • Partner with executive team to assess and implement crisis management, legal requirements and mitigate risk
  • Resolve legal disputes, including employment issues and litigation
  • Manage outside counsel, where appropriate
  • Stay up-to-date with relevant laws and regulations affecting the company's industry and operations and consistently support compliance.


Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and active membership in the California state bar, or eligible to register to practice in California.
  • 10+ years of legal experience, with at least 5 years in a leadership role.
  • Deep experience with a broad range of securities law matters, including public company reporting rules, NASDAQ listing rules, the Sarbanes-Oxley Act, and preparation and review of SEC-compliant filings and disclosures, is required.
  • Experience with one or more of the following areas is an added plus: outsourcing, structured finance and capital markets matters, executive compensation, public debt and equity issuances, share repurchase transactions (including tender offers, accelerated share repurchases, and 10b5-1 plans), derivatives, corporate governance, and general banking matters.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively with cross-functional teams.
  • Proven ability to handle complex legal issues and provide clear, practical legal and strategic guidance.
  • Strong negotiation and contract drafting skills.
  • Experience with mergers and acquisitions.
  • A talent for anticipating legal issues and assessing potential risks.
  • A deep understanding of financial management within a corporate legal department.
  • High proficiency in understanding business operations.
  • Candidates must be willing to work on-site at least 3 days per week in the Company's Santa Monica office.
  • Proven track record as a General Counsel, Deputy General Counsel, law firm partner or in a similar legal role.
  • Demonstrated professionalism, ethics, and unwavering integrity.


The pay range for this position starts at $125,000-200,000; however, base pay offered may vary depending on job-related knowledge, skills, and experience. Bonus opportunities may be provided as part of the compensation package, in addition to a full range of medical, financial, and/or other benefits, dependent on the position offered.
