Paralegal - Corporate/IP


Summary of Job:


Responsible for the administration, maintenance and management of TSG's broad portfolio of trademarks, patents, copyrights and other intellectual property (IP). Works closely with the cognizant business leaders in marketing, engineering, and subject matter experts in the business as well as General Counsel and outside counsel handling IP matters for the Company.


Responsible for the administration and maintenance of corporate transactional documents and filings as well as assist in any merger and acquisition due diligence matters.


Responsible for certain contract management such as preparation, review and revise of Non-Disclosure Agreements and other corporate agreements such as license agreements, consulting agreements, service agreements and other agreements, including any amendments thereto.


Essential Job Functions:



  • Organize and maintain corporate records to ensure the records are accurate and complete. Coordinate with outside counsel where our Company and/or affiliates are domiciled for annual resolutions and other corporate compliance matters.

  • Prepare applications for foreign authority to do business and other related transactional documents necessary for filing with the respective Secretary of State's Office, including coordination with Tax Dept. as needed.

  • Respond to corporate related questions (e.g., legal entity and signing authority matters) from employees in a timely manner and conduct further research as needed.

  • Manage corporate entity records for legal entities, including filings of annual renewals and other corporate transactional compliance documents.

  • Assist Finance with KYC matters

  • Assist General Counsel in M&A related matters

  • Assist General Counsel with any discreet projects. Take initiative to lead or facilitate such projects as needed.



  • Maintain Company's patent, trademark and domain portfolios

  • Manage the day-to-day administration of Company's IP processes, including but not limited to;


    • Coordinating and facilitating regular patent, trademark and domain reviews with R&D, Marketing and business subject matter experts.

    • Maintain web-based information repository for company's IP assets

    • Work collaboratively and cross-functionally with General Counsel, IP counsel, and R&D related to patent matters

    • Manage and assist with trademark prosecution and maintenance

    • Interface with General Counsel and outside counsel handling IP matters

    • Assist with IP enforcement matters, including research and preparation of cease and desist letters




  • Review and administer IP legal invoices, and corporate transactional legal invoices

  • Prepare, review and revise non-disclosure agreements, consulting agreements, service agreements, license agreements and other agreements related to IP.

    • Evaluate and discuss with internal business and General Counsel any suggested contract revisions



  • Identify opportunities to improve business practices and devise plans to implement such changes

  • Legal research

  • Provide support on various other legal matters


Qualifications


Minimum of five (5) years paralegal experience at a company or law firm, with first-hand knowledge of the process of obtaining/maintaining patents and trademarks; contract review and management; corporate transactional formation and other corporate transactional compliance and merger and acquisition due diligence.


Required Education


College degree and ABA paralegal certification


Knowledge Skills & Abilities



  • Strong proficiency in computer skills, including Outlook and MS Office (Word, Excel, PowerPoint) and web-based database tools.

  • Minimum of five (5) years' experience as a corporate and intellectual property paralegal in a managerial role, senior paralegal role or equivalent

  • Experience in reviewing and negotiating contracts demonstrating a solid understanding of legal terminology

  • Knowledge of various types of contracts

  • Excellent planning, organizational, and communication skills (written and verbal)

  • Natural diplomat, with strong people skills to work with all levels of the organization.
